Movilock Vehicle Tracking Service Agreement

1. Your Agreement with Movilock
By purchasing, installing, activating, or using the Movilock GPS tracking device (“Device”) and its associated services (“Services”), you (“Customer” or “You”) agree to be bound by the following terms and conditions with Movilock (“We” or “Us”). This agreement covers all your past, present, and future use of the Device and Services. Please read it carefully.

2. Changes to Terms
We reserve the right to modify this Agreement or our Services at any time. We will notify you of changes by posting them on our website or via email. Your continued use of the Services after such notice means you accept the new terms.

3. Payments
You agree to pay all fees for the Services via approved methods like credit/debit card or cheque. By providing your card details, you authorize us to charge them for all due amounts. If a payment is refused, your Services may be suspended or terminated without notice. You are responsible for all applicable taxes. Late payments (over 10 days) may result in service disruption and potential re-activation fees.

4. Cancellation & Refunds
Unused Services are generally non-refundable. The Device itself is covered by its separate product warranty, which dictates its refund or replacement terms. Deactivating your Service may incur a fee if you wish to reactivate it later.

5. Acceptable Use
The Services are for your personal or internal business use and must be used lawfully. You may not resell them. We may set usage limits and, if exceeded, may charge you a higher rate or suspend service for what we deem abusive usage.

6. Service is Non-Transferable
Your Movilock Service is tied to you and is not transferable. If you sell the vehicle with the Device installed, you must either remove the Device or deactivate the Service with us before the transfer. You must inform the new owner that a tracking device was installed.

7. Service Suspension & Termination
We may suspend or terminate your Services without prior notice for good cause, including violation of this agreement, non-payment, illegal use, or interference with the Services. Services may also be interrupted due to network unavailability, maintenance, or factors beyond our control.

8. Privacy & Data
We automatically collect data from your Device and your use of our website/app, including location, device information, and browsing data. We use this information to:

  • Provide and improve the Services.

  • Bill you and manage your account.

  • Assist with fleet management (if applicable).

  • Develop new products and services.

  • Comply with the law and prevent fraud.

We may combine and anonymize data (“Aggregated Information”) which we can use and share for any purpose. While we take precautions, we cannot guarantee the absolute security of communications over wireless networks.

9. Lost or Stolen Vehicles
While we may assist in locating a lost or stolen vehicle, we are not obligated to do so and do not guarantee its recovery or condition. Our obligation to provide commercially reasonable assistance ends 48 hours after you report the vehicle to the authorities. We are not liable for tracking individuals or recovering valuables inside the vehicle.

10. Your Responsibility (Indemnification)
You agree to hold Movilock and its partners harmless from any claims, costs, or damages (including legal fees) that arise from your use of the Services, your breach of this agreement, or any related errors or omissions.

11. Device Warranty
Your Device is covered by a limited warranty, valid for a period specific to your product model (from 7 days up to 2 years) from the date of installation. This warranty covers the replacement of the Device if it is found to be defective upon inspection by Movilock.

12. Service Limitations
The Services rely on cellular and GPS networks and are not available in all areas or at all times. For the Services to work, your vehicle must have a functioning electrical system. Service may also be affected by:

  • Improper installation or maintenance.

  • Vehicle modifications or incompatible equipment.

  • Physical obstructions (tunnels, buildings, mountains).

  • Weather, network congestion, or accidental damage.

13. Important Liability Limitations
PLEASE READ CAREFULLY. THESE LIMITATIONS AFFECT YOUR LEGAL RIGHTS.

  • Use at Your Own Risk: You operate and use the Device and Services at your sole risk.

  • Maximum Liability: Our total cumulative liability to you for any and all claims is limited to three times the amount you paid for the Services in the period leading up to the claim.

  • Excluded Damages: To the fullest extent permitted by law, neither party shall be liable for indirect, consequential, incidental, punitive, or lost profit damages, or for attorney’s fees.

  • Third-Party Issues: We are not liable for service interruptions caused by third parties, your vehicle, physical obstructions, weather, or other factors beyond our control.

  • “As Is” Data: All data and information provided by the Services are on an “as is” basis. We are not liable for any errors or inaccuracies in this data.

  • Not Insurance: The Services are not a substitute for insurance. You must maintain your own appropriate insurance coverage.

14. Governing Law
This Agreement and any disputes are governed by the laws of the People’s Republic of Bangladesh.

15. Dispute Resolution
We will first attempt to resolve any disputes informally. If unresolved, both parties agree to use binding arbitration (instead of court, except for small claims) to settle the disagreement. You may always contact a relevant government agency for assistance.

16. Intellectual Property
All rights to the Device, software, and Services are the property of Movilock or its licensors. You may not modify, reverse engineer, or decompile any part of the Device or its software.

17. General Terms
If any part of this Agreement is found invalid, the rest remains in effect. This Agreement is binding on your and our successors. Our failure to enforce a right does not mean we waive that right. The liability limitations in this agreement survive its termination.

Acknowledgment
The Customer and Movilock acknowledge that they have read, understood, and agreed to this Agreement.
